Terms of Service

Last updated: October 2026

1. Introduction

Welcome to alexbrod.com (the "Site"), operated by Oleksandr Bezrodnii ("I", "me"). These Terms apply to the Site and to every engagement I carry out for a client (the "Services"). By using the Site or accepting a scope from me, you agree to comply with these Terms of Service ("Terms"). If you disagree with any part of these Terms, please refrain from using the Site and the Services.

2. Use of Services

The Services provided by alexbrod.com include brand strategy consultancy, founder alignment, positioning, communications, coaching, audits, workshops and advisory work. By using these Services, you confirm that you are at least 18 years old, legally capable of entering into contracts, and that you either act for yourself or have the authority to bind your company.

3. Scope and these Terms

Each engagement is described in a written scope. Once you accept it, the scope and these Terms together form the agreement. For deliverables, fees, payment triggers and timing, the scope prevails. For everything else, these Terms prevail.

A scope is valid for 14 days from its date. After that, scope and terms are reviewed before work starts.

You accept a scope by pressing Accept in your client portal or by replying "accepted" by email. Acceptance covers the version of the scope and the version of these Terms in force on that day. The portal records both.

The accepted scope is the single record of what is agreed. Earlier proposals, call notes and messages are superseded by it. Changes after acceptance are agreed in writing and logged with the date, what changed, who agreed and the effect on price and timing.

4. Deliverables and Revisions

A deliverable is finished when it reaches you in the agreed form (document, brief, file or session). What your team or your vendors do with it afterwards, such as design, development and publishing, follows your schedule.

Each deliverable includes two rounds of revisions. A round is one consolidated set of comments on one version. Corrections of my own mistakes sit outside the count. Further rounds and work outside the scope are agreed in writing first, with price and timing, before I start.

Managing your designers, developers or vendors, and project management of your launch, sit outside the scope unless the scope includes the Implementation oversight module, which carries its own fee.

5. Client Responsibilities

As a client, you agree to:

When something waits on you, I remind you once per working day. After three working days without a response, the schedule moves by the length of the wait, and every date in the scope moves with it. The portal record is the reference for any question about timing.

A deliverable that receives no response within five working days after delivery counts as accepted, and its payment milestone is invoiced.

Decisions, execution on your side, checks of the final material against platform rules and legal requirements, and business results stay with you.

6. Payment Terms

Fee Structure: Fees for Services are based on fixed project fees, hourly rates for execution work, or a subscription-based model for ongoing services, as stated in the scope.

Invoicing & Payments: Invoices are payable within 7 days of issue unless the scope states otherwise. Work starts when the first payment arrives.

Standard Structure: Unless the scope says otherwise, a single consultation call is paid in full before the call, a monthly retainer is paid in full for the month ahead, a one-off project up to 2,000 is paid in advance, and a one-off project between 2,000 and 5,000 is paid half at the start and half on delivery. Larger projects follow the payment table in the scope.

Payment Milestones: Milestones follow my deliverables as listed in the scope, or a date written in it. A delay on your side, including implementation by your team or vendors, does not postpone them.

Late Payments: Work pauses until an overdue invoice is paid, and the schedule moves accordingly. Late-payment interest allowed by applicable law may be charged.

7. Calls, Recordings and Archive

Calls are recorded and transcribed. After each call you receive a summary with decisions and next steps. A full transcript is available on request. You make sure that participants from your side know the call is recorded.

You keep access to call summaries in your portal for 12 months after the engagement ends. I keep a private archive of project material beyond that, used for my own reference and for anonymised case studies. Nothing that identifies you or your company is published without your written approval.

8. Rescheduling, Cancellation and Refunds

Calls: To change the time, reschedule or cancel at least 24 hours before the call and you get a new slot. Paid calls are not refunded on cancellation, but I offer one reschedule if something genuinely comes up. If you do not show up, the session counts as used. If I have to cancel, you get a full refund or first pick of new times.

Retainers: Retainer fees are paid in advance for the month and are not refunded. If you end a retainer inside a paid month, I compensate the unused part in services, to be used within a period agreed with me in writing. Notice periods are stated in the scope. If I cannot deliver the paid service, you get a refund of the unused part.

9. Intellectual Property

Rights in the deliverables created for you pass to you when the fee for the phase they belong to is paid in full. Until then they remain my property, and you may use them for evaluation only.

My pre-existing frameworks, methods, templates and tools, including the CLEAR framework, remain mine. Where they are built into a deliverable, you receive a perpetual, non-exclusive licence to use them as part of that deliverable.

I may show the work in anonymised form in case studies, as described in section 7.

10. Changes and Termination

I may modify or discontinue any part of the Site at any time. The scope of an engagement changes only by agreement of both sides, as described in section 3.

Either party may terminate the engagement by providing written notice. In the event of termination, the client is responsible for payment for any work completed up to the date of termination. Notice periods for retainers are stated in the scope.

11. Confidentiality

I respect your privacy and confidentiality. Any information shared with me for the purpose of executing the Services will be handled with care and will not be disclosed to third parties without your consent, except as required by law. Anonymised learnings from the work may be used in case studies, as described in section 7.

12. Limitation of Liability

The Services provided on this Site are "as is" and without any warranty. While I strive to deliver the highest quality work, I make no guarantees regarding the results of the Services. Under no circumstances shall Oleksandr Bezrodnii be liable for any indirect, incidental, or consequential damages arising from your use of the Services.

My total liability for any claim arising out of an engagement is limited to the fees you paid for that engagement. Nothing in these Terms limits liability that cannot be limited by law.

13. Governing Law

These Terms are governed by the laws of Portugal. Any disputes arising out of or relating to these Terms or the Services provided shall be resolved in the courts of Portugal.

14. Changes to the Terms

I may update these Terms from time to time. Any changes will be posted on this page with the effective date. The version in force on the day you accept a scope applies to that engagement. It is your responsibility to review the Terms periodically to stay informed of any updates.
